1. Confirmation and Related Definitions of this Agreement

(1) Confirmation of Slow Vers User Agreement

When you confirm to accept Slow Vers User Agreement (hereinafter referred to as “this agreement” or “user agreement”) or agree to use Slow Vers products through Slow Vers platform (hereinafter referred to as “the platform” or “Slow Vers”), it means that you, as Party B (hereinafter referred to as “Party B” or “User”) and Slow Vers (operated by Slow Vers Limited, hereinafter referred to as “Party A” or “Slow Vers”) have reached an agreement, and you voluntarily accept and abide by the terms and conditions involved in the services provided by Slow Vers, including this agreement and all related sub-agreements, guidelines, consulting service rules, etc. You can use products and services (including but not limited to assessments, consultations, venting, courses, etc.) on the platform according to your own needs. Before using the above products and services, you should understand the rules of use, and use them after thoroughly reading, understanding and agreeing.

Slow Vers has the right to update this agreement and related sub-agreement, guidelines, product use rules and other documents (hereinafter collectively referred to as “service agreements”), including but not limited to publishing or revising Slow Vers service rules, usage rules, and announcements from time to time, reminders, notifications, etc. The updates will be notified to registered users through Slow Vers platform in the form of an announcement, and the updated content will take effect on the date specified in the aforementioned announcements. If you continue to use the service, it means that you agree to accept our updated service agreement; the expression of your rights and obligations, service content and fees and closing standards, etc., are subject to the latest service agreement. If you do not agree to the changed service agreement, please stop using our products and services.

(2) Relevant Definitions

Slow Vers: Slow Vers websites, applications, other network channels, etc. operated by Party A.

Slow Vers platform services: including but not limited to assessment, consultation, venting, courses, knowledge popularization and other products and services provided by Slow Vers on the platform.

According to this agreement, Slow Vers provides you with platform products and services, and you will use the products and services through Slow Vers platform. The specific content of the agreement is for both parties to abide by.

(3) Platform Services

1. Party A provides Party B with a psychological service medium via the Slow Vers platform, through which Party B has the right to use the psychological product services provided by Slow Vers.

2. If the content of the user agreement conflicts with other individual product rules, service rules, website rules or service agreements, other special rules shall prevail.

3. Before using related products, users should fully read and understand the content of product rules (if any) and agree to enjoy and use product services in accordance with product rules.

4. Slow Vers has the right to update, optimize, remove, suspend, and terminate platform functions, products, services, etc. according to operational needs. The content of this agreement applies to any and all future modules, functions, products, or services launched by Slow Vers.

5. Slow Vers has the right to suspend or terminate the provision of platform services due to regular or irregular platform maintenance or operational needs, and users will be notified by the platform in advance. The platform is not responsible for any transmission or connection delays, inaccuracies, errors, omissions or unavailability caused by any suspension or termination of platform services.

2. Entry into Force and Termination of this Agreement

(1) Entry into Force

1. The user has fully understood and approved that this agreement will come into effect when the user clicks to confirm this agreement and logs in to use Slow Vers platform.

(2) Circumstances of Termination

1. [Termination initiated by the user] The user has the right to terminate this agreement through any of the following methods:

• 1) After the service agreement is updated, the user stops using Slow Vers platform and its products and services;
• 2) After the service agreement is updated, the user expressly does not accept the updated service agreement;
• 3) The user voluntarily cancels the account.

2. [Termination initiated by Slow Vers] In the following situations, Slow Vers has the right to terminate this agreement without notifying the user:

• 1) If Party B violates the provisions of this agreement, Party A has the right to immediately terminate this agreement without notifying Party B;
• 2) If Party B steals other people's accounts, posts illegal/infringing information, defrauds other people's property, disturbs the order of the platform, uses improper means to make profits, or conducts other illegal/violating acts, Slow Vers has the right to seal up and cancel the user's account;
• 3) In addition to the circumstances above, if the user violates the relevant product service rules of Slow Vers service agreement for 3 times (or more), Slow Vers has the right to seal up and cancel the user's account;
• 4) The user's account is canceled by Slow Vers according to the user agreement;
• 5) Other violations of user agreements and service agreements.

3. Processing after Termination of the Agreement

• 1) [Disclosure of user information] After the termination of this agreement, except as clearly stipulated by laws and regulations, Slow Vers will not provide any information in the account to the user or any third party; Slow Vers is not responsible for keeping records of any information of Party B after termination, and information shall be kept by Party B before the termination of the agreement.
• 2) [Platform Rights] After the termination of this agreement, Slow Vers still enjoys the following rights:
  • 1. Continue to keep checking and confirmation records of various documents such as service agreements when users use the platform and product services, and the use traces and paths of product services (this information will not involve user information cache, user personal information or user privacy information etc., and the information shall not be provided to any third party);
  • 2. The platform reserves the right to pursue any breach of contract by the user and infringement damages caused by the user.

3. Registration, Usage and Cancellation of Accounts

(1) Users should be adults aged 18 or above with full capacity for civil conduct. If you do not meet the conditions above, please register under the company and supervision of your guardian.

(2) If the user does not meet the age qualification, all responsibilities and consequences arising therefrom shall be borne by the user and the user’s guardian, and Slow Vers has the right to immediately cancel the account that belongs to a user that does not meet the age qualification.

(3) The ownership of the account registered and used by Party B belongs to Party A, and Party B enjoys the exclusive right to use the account. Without the permission of Party B, any third party shall not use the account registered by Party B. Any operation performed by any third party using the account of Party B shall be deemed to be the operation of Party B himself.

(4) After completing the registration process according to the platform registration process, the user can obtain the right to use the platform account and become a Slow Vers user. The user can use the account according to the functions displayed on the platform, set or modify the account password, etc., and the user is responsible for the security of the account and password.

(5) The account shall not be transferred, gifted or inherited in any way. If any improper use of the account occurs or may endanger the security of the account, the user shall immediately notify Slow Vers and ask Slow Vers to suspend the account; Slow Vers also has the right to intervene and suspend the provision of services to the account.

(6) Every user is limited to only one account. Where there is improper registration or improper use of multiple accounts, Slow Vers has the right to cancel the redundant accounts (reserve the earliest registered account, and the data shall be retained based on the earliest registered account) and refuse to provide services depending on the situation; if losses occur to Slow Vers, the user shall be liable for compensation.

(7) Identity authentication: According to relevant laws and regulations, in order to protect network information security and better provide users with services, Slow Vers has the right to require users to complete identity authentication in a timely manner; in the cases where identity authentication is required in other Slow Vers products and services, the user should complete identity authentication before using respective products and services.

(8) Account cancellation:

• 1. The user has the right to voluntarily cancel the account (you can cancel the account by following the in-app path of “Slow Vers APP>Me>Settings>Account and Security>Account Cancellation”). After the account is canceled, Slow Vers shall not continue to retain the user's personal information, the user's personal information shall be deleted within ten business days;
• 2. During the use of the account, the user may request Slow Vers to delete personal information; if the user requests Slow Vers to delete personal information during the use of the account, it may cause interruptions in the provision of some products and services and any losses are borne by the user; after deleting personal information, Slow Vers has the right to suspend the account if the account has not been logged in for a long time.

(9) Legitimacy

• 1. In order to maintain online public order and social stability, when using any of the services provided by Slow Vers, please consciously abide by the relevant local laws, regulations and other mandatory binding legal documents published by legislative or administrative bodies (hereinafter referred to as “laws and regulations”), new laws and regulations issued by relevant departments from time to time and adjustments, updates, and revisions to existing laws and regulations. If the user violates the requirements of any laws and regulations, Slow Vers has the right to suspend, interrupt or terminate the user's usage of some or all of Slow Vers's services, and cooperate with any possible investigation, inquiry or review by relevant authorities. In this case, Slow Vers does not assume any responsibility, and the user agrees to bear any direct or indirect expenses or losses arising therefrom.
• Under the framework of current laws and regulations, the following behaviors are strictly prohibited, including but not limited to:
  • 1) those that are in direct violation against relevant constitutions, laws, regulations, and policies;
  • 2) those that harm public interests;
  • 3) those that incite ethnic hatred, ethnic discrimination, and undermine public unity;
  • 4) those that promote cults and feudal superstitions;
  • 5) those that include obscenity, pornography, gambling, violence, murder, terrorism or instigate illegal or criminal activities;
  • 6) those that insult or slander others, or infringe on others’ legitimate rights and interests;
  • 7) those that violate social public order and good customs, and with significantly bad influence;
  • 8) those that involve using accounts, products, services, and networks for illegal purposes;
  • 9) those that involve deliberately producing and disseminating destructive programs such as computer viruses;
  • 10) other acts that endanger the security of computer information networks;
  • 11) other acts prohibited by laws, administrative regulations, and government policies.
• 2. The account nickname set by the user shall not violate any laws and regulations, and relevant rules of Slow Vers. Users must not use the names of any famous figures, must not use names that insult and slander others, and must not use names that infringe on any third-party intellectual property rights or corporate names, otherwise Slow Vers has the right to terminate the use of the user's account nickname; any ownership disputes, compensation, losses, etc. caused by this will be borne by the user.

(10) Authenticity

• 1. When completing identity authentication and using Slow Vers product services, users should provide true, accurate, up-to-date and complete personal information. Account information should be updated in time to ensure the timeliness of the information.
• 2. If the information provided by the user is wrong, untrue, out of date, incomplete or misleading, Slow Vers has the right to suspend or terminate the provision of account services.

(11) Update and Maintenance

• 1. The user should update the account information in time to ensure that the information provided is up-to-date, true, complete and effective.
• 2. If Slow Vers is unable to contact the user according to the latest contact information provided by the user, the user fails to provide information in time according to the request of Slow Vers, or the information provided by the user is obviously false or invalid after verification by the administrative and judicial authorities, the user shall bear all losses and adverse consequences resulting therefrom.
• 3. Slow Vers has the right to suspend or terminate the provision of account services until the user updates the latest user information, and Slow Vers shall not bear any responsibility for the suspension or termination of user accounts because of outdated information.

4. Rules for Posting User Information

(1) The copyright of the information, comments, articles and other content posted by the user belongs to the user or to Slow Vers if the copyright owner has authorized the content to be posted on Slow Vers platform. Do not violate relevant laws and regulations; do not post content against public interests; do not fabricate any false information or spread rumors; do not publish advertising content or contact information; quotes cannot exceed 20% of the posted content, etc., otherwise, Slow Vers has the right to remove, delete, block the above information, ban or cancel the account etc., and any legal liability caused by it shall be borne by the user.

(2) You should ensure that the posted content does not include the following:

• 1. Violating laws and regulations;
• 2. Interfering with political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terror or abetting crimes;
• 3. Fraudulent, false, inaccurate or misleading;
• 4. Violates the intellectual property rights of others, involves third-party business secrets or other proprietary rights;
• 5. Insults, slanders, assaults others or invades the privacy of others;
• 6. May destroy, tamper with, delete, affect the normal operation of Slow Vers systems, steal platform data, steal user data and personal information;
• 7. Release malicious software and program codes containing viruses, Trojan horses, crawlers, etc.;
• 8. Unconfirmed information and rumors;
• 9. Advertising content, personal or other non-Slow Vers official contact information;
• 10. Other content that harms public interests, are against social public orders or are not permitted to post under other Slow Vers service agreements.

(3) Claims of Rights

If you think that any content of this platform (including content posted by other users) or the content obtained through this platform may infringe your or any third party's legal rights, please file a complaint in writing or provide feedback through the platform's "complaint/report" channel.

When giving feedback, please provide your proof of identity (ID card information, contact information), proof of content ownership, specific link (URL) and detailed infringement description, etc. Slow Vers will verify the corresponding content and get in touch as soon as possible; after Slow Vers verifies the information of both parties of the dispute, both parties will be contacted for dispute resolution.

If the complaint you stated is inaccurate, you shall bear all legal responsibilities arising therefrom.

5. Intellectual Property Authorization

(1) Slow Vers owns all rights to all products, technologies, programs, materials, and information content (including but not limited to text, pictures, images, photos, audio, video, charts, colors, layouts, and electronic documents) on the platform (including but not limited to copyrights, trademark rights, patent rights, trade secrets and all other related rights).

(2) For all kinds of works posted by users on the platform, users agree to authorize the copyright of the works to Slow Vers worldwide exclusively, permanently, and free of charge for commercial use, including but not limited to reproduction rights, distribution rights, rental rights, exhibition rights, performance rights, screening rights, broadcasting rights, information network dissemination rights, filming rights, adaptation rights, translation rights, compilation rights, rights protection rights, and other copyright property rights that should be enjoyed by copyright owners.

(3) If various works published by a user on the platform are infringed upon, reprinted, or used by a third party, Slow Vers has the right to independently sue the third party to assert its rights. Slow Vers is responsible for the costs of initiating the lawsuit and is entitled to all compensation obtained.

(4) Slow Vers has the right to use the aforementioned authorized works, including but not limited to publishing on the platform, publishing on other social media channels, adapting them into other types of works, compiling them into other works, or jointly compiling them with other works of Slow Vers. If Slow Vers adapts them into another type of work, the ownership of the adapted work belongs to Slow Vers.

(5) Users have the right to publish the aforementioned authorized works on their own channels and personal social media accounts, but they may not authorize any third parties to use them (including their employer), and users may not hinder the ability of Slow Vers to use these authorized works.

6. Personal Information Usage Authorization

(1) All rights to the operational data recorded by the Slow Vers platform, including but not limited to user information, user lists, user relationships, user usage data, transaction data, order data (if applicable), belong exclusively to Slow Vers. Slow Vers shall not collect the above-mentioned information beyond the scope of providing products and services, nor shall it use the above-mentioned information beyond the scope of providing products and services.

(2) Without written consent from Slow Vers, no one is allowed to use user lists, user relationships, etc., to send promotional messages to users. Unauthorized storage, backup, disclosure, use, or authorization of others to use the aforementioned operational data is strictly prohibited. After termination or dissolution of the user agreement, Slow Vers does not backup or provide the aforementioned data to the user.

(3) The user authorizes Slow Vers to use Party A's personal information within the necessary scope during the provision of product services.

(4) If a user cancels their account, Slow Vers should promptly delete the user's personal information. Users have the right to request the deletion of their personal information during account usage.

7. Personal Information and Privacy Protection

(1) You should properly safeguard your account number and password, as well as other account information. If you discover that your account is being used by someone else, you should immediately notify Slow Vers for resolution.

(2) In cases of force majeure (including hacker activities, computer viruses, system instability, etc.), being deceived by others, or voluntarily disclosing information, as well as negligence in safeguarding that results in the unauthorized use of your account and password by others, Slow Vers bears no responsibility.

(3) Slow Vers places great importance on the protection of your information. Your personal information will be regulated and protected in accordance with the Slow Vers Privacy Policy. Please click and read Slow Vers Privacy Policy in its entirety to help you better protect your personal information.

8. Confidentiality Obligation

(1) Both parties shall strictly maintain the confidentiality of the content of this agreement and any commercial information, trade secrets, and other undisclosed materials and information obtained or accessed as a result of the signing or performance of this agreement (including but not limited to product and service information, personal privacy, financial information, technical information, etc.). Without the written consent of the other party, neither party shall use, disclose, or provide to any third party, in whole or in part, the aforementioned information through any means, except as required for the performance of this agreement:

• 1. Employees of the receiving party or their affiliated companies, as well as their employees, who have a legitimate need to know the relevant information internally;
• 2. Transactional partners of the receiving party who are bound by confidentiality obligations, including law firms (lawyers), accounting firms (accountants), audit firms (auditors), appraisal firms (appraisers), etc.;
• 3. Disclosures made to government departments, judicial authorities, stock exchanges, or other regulatory bodies as required by relevant laws, regulations, administrative directives, etc.

(2) Without the written consent of the other party, unauthorized use, copying, or reproduction of the other party's trademarks, logos, business information, technology, or other materials is prohibited.

(3) Neither party shall engage in any form of direct or indirect derogatory assessments, negative evaluations, or any actions that may have an adverse impact on the reputation of the other party.

(4) The confidentiality period shall extend until the relevant information is placed in the public domain.

9. Anti-bribery

(1) Slow Vers is committed to and diligently implements various provisions related to anti-commercial bribery, establishing a sound and long-term mechanism against unfair trade practices and commercial bribery.

(2) Slow Vers is committed to vigorously combating acts of commercial bribery. In cases of employees violating relevant regulations, strict investigations, penalties, and education will be carried out, and in cases of severe violations, the matter will be referred to judicial authorities. Regarding users or partners found to be in violation of relevant regulations, once confirmed, Slow Vers reserves the right to terminate services for the user or cooperation with the partner, and in cases of severe violations, the matter will be referred to judicial authorities.

(3) Slow Vers is willing to work with all users and partners to achieve a "win-win" future under a cooperative mechanism that is open, transparent, fair, equal, honest, and trustworthy. We sincerely hope that users and partners can understand and support Slow Vers's anti-commercial bribery policy, and we welcome supervision of Slow Vers and its employees. If you discover any relevant situations, please provide timely feedback to Slow Vers.

10. Disclaimer

(1) Safe Harbor Principle

• 1. Users are required to comply with Rules of Posting User Information when posting and authorizing the use of information, comments, articles, images, and other content by Slow Vers. Slow Vers does not assume the obligation to conduct legality reviews or provide guarantees for the content posted by users.
• 2. If a third party believes that the content posted by the user is illegal or infringing, the user is responsible for actively resolving and bearing the corresponding responsibility for any related liability or damages. Slow Vers has the right to promptly remove the aforementioned content.

(2) External Link

Slow Vers in principle does not allow the dissemination of any external links on the platform. Therefore, Slow Vers is not responsible for the availability or security of external links on the platform and does not endorse any content, advertisements, products, services, etc., provided through external links. If anyone discovers external links, please promptly report them to Slow Vers, and Slow Vers will delete the relevant material.

Any disputes arising from the use of external links are unrelated to Slow Vers, and Slow Vers assumes no responsibility for any external links.

(3) Psychological Counseling

• 1. Users understand, acknowledge, and agree that the effectiveness of psychological counseling depends on the collaborative efforts of both the counselor and the user. Regardless of the counseling method chosen by the user, Slow Vers and the counselor do not guarantee that a specific outcome will be achieved after receiving psychological counseling. The psychological counseling results that do not meet the user's psychological expectations are not considered a service quality issue. Refunds are generally not provided after the conclusion of psychological counseling services, and Slow Vers and the counselor do not assume any legal responsibility for the service results or refunds.
• 2. During the psychological counseling service process, in the event of sudden illness or accidental death caused by reasons attributable to the user, or due to self-harm, self-mutilation, or suicide resulting from reasons attributable to the user, Slow Vers and its counselors will take measures to control the situation as much as possible and, if necessary, contact the user's emergency contacts, relevant authorities, and medical institutions. Any damages or consequences resulting from this will be borne by the user (or their guardian), and the platform and psychological counselors will not be held liable for such damages.
• 3. The psychological counseling services provided by the Slow Vers platform do not constitute disease diagnosis, treatment, or medical services. Slow Vers is not a medical institution, and users agree not to claim any rights based on the psychological counseling services received as non-medical services.
• 4. Users who have suicidal tendencies or have attempted suicide should seek treatment and assistance from crisis intervention agencies or medical institutions in accordance with legal requirements. Psychological counselors do not provide crisis intervention or treatment services, and if a user chooses to engage in self-harm, self-mutilation, or suicide as a result, the user bears full responsibility for the consequences.
• 5. Disputes arising from psychological counseling services, including disputes related to fees, service quality, and other matters, will be resolved through negotiations and mutual agreement between the counselor and the user. Slow Vers provides equal mediation for disputes, and Slow Vers does not assume any responsibility for these disputes.
• 6. Private transactions are strictly prohibited:
  • 1) Consultants and users are prohibited to conduct private transactions (including but not limited to private transfer transactions or transactions through third-party platforms);
  • 2) Private transactions are considered a severe and fundamental breach of contract. Slow Vers has the right to immediately terminate the user's account. The user is solely responsible for compensating for any losses incurred by Party A as a result of this;
  • 3) Disputes arising between the counselor and the user due to private transactions are to be resolved solely by the two parties involved and are not the responsibility of Party A. The user is responsible for compensating for any losses occurred to Party A as a result of this.
• 7. If more than one year has passed since the completion of psychological counseling services, Slow Vers does not provide equal mediation for disputes. Users and psychological counselors should negotiate separately to resolve any disputes.
• 8. Users of the platform's psychological counseling services should adhere to the relevant agreements, rules, informed consent forms, and other documents related to psychological counseling.

(4) Psychological Assessment

• 1. Psychological assessments are developed according to general psychological principles. The results generated by the system after the user completes the test are provided for the user's reference only. Slow Vers does not provide any guarantees or assume any legal responsibilities for the assessment results and personal analysis reports. They should not be used for the treatment of psychological disorders, crisis intervention, or resolution.
• 2. Issues not caused by the assessment system are not eligible for a refund.

(5) Slow Vers does not guarantee the timeliness, security, or accuracy of network services caused by force majeure or third-party factors. Users are advised to promptly save their relevant information. In the event of any loss due to network service interruption, repair, maintenance, etc., the platform does not assume any related responsibility.

(6) The maximum liability limit for our company, whether arising from contract, warranty, liability (including negligence), or any other cause, shall not exceed the total service fees paid by the user to our company.

(7) Before using our company's services, users are required to carefully read the various rules and corresponding disclaimers related to the services. If you do not agree with the relevant disclaimers, please do not register as a user of our company.

11. Liability for Breach of Contract

(1) Both parties to the agreement shall strictly adhere to the provisions of the User Agreement and related service agreements and rules. They shall not violate the agreement or harm the legitimate rights and interests of each other or exploit the platform to harm the legitimate rights and interests of third parties.

(2) In the event that one party to the agreement becomes aware of the other party's breach, they have the right to notify the breaching party to take effective and reasonable remedial measures to correct the breach and compensate the non-breaching party for their losses. If the breaching party fails to rectify the breach within seven natural days after receiving the notice, the non-breaching party has the right to unilaterally terminate this agreement in writing and close the account.

(3) The termination of this agreement by the non-breaching party or the remedial measures taken by the breaching party shall not prevent the non-breaching party from pursuing the breach of contract liability of the breaching party in accordance with the contract provisions.

(4) Liability for breach of contract:

• If the platform causes damages to visitors due to breach of contract, infringement, or other reasons, the liability for compensation is limited to the total amount paid by the visitor.
• If visitors cause damages to counselors due to breach of contract, infringement, or other reasons, the liability for compensation is limited to the actual losses incurred by the counselor.

(5) Loss: including but not limited to compensation to third parties, loss of income, loss of investment costs, expenses for rights protection trips, litigation expenses, notary fees, lawyer fees, etc.

12. Effective Notification and Platform Contact Information

(1) Users should accurately fill out and promptly update the email address, contact phone number, mailing address, postal code, and other contact information provided to Slow Vers. Users should ensure the validity of their contact information so that Slow Vers can contact them effectively and in a timely manner using the contact information provided by the user.

(2) If Slow Vers is unable to contact the user through the contact information provided by the user, resulting in any losses to the platform, increased costs, counselor fees, user losses, failure to receive timely updates to the service agreement, etc., the user shall bear full responsibility.

Slow Vers considers the contact information provided above as valid for delivering information. Notices and related documents sent by Slow Vers to the user's provided email address are considered as valid notifications.

13. Others

(1) Both parties to this agreement have no authority to make any statements or guarantees, whether express or implied, on behalf of the other party to external parties.

(2) If any provision of this agreement becomes invalid or unenforceable due to changes in laws, regulations, or policies, the invalidity or unenforceability of that provision shall not affect the validity of the other provisions. The other provisions shall remain legally effective.

(3) Both party A and party B shall jointly adhere to the content of this agreement. In the event of a dispute during its execution, they shall attempt amicable negotiations. If negotiations fail, both parties have the right to apply for arbitration to the Hong Kong International Arbitration Centre (HKAIC).
